General Terms and Conditions of Sale

1. Preamble and Scope of Application

These General Terms and Conditions of Sale (hereinafter "GTC") govern all contractual relations between Aghilas Quantec, the company developing the GNSYX platform accessible via gnsyx.com (hereinafter "the Company" or "Aghilas Quantec"), and any user (hereinafter "the Client"), whether natural or legal person, subscribing to an abonnement for access to GNSYX services. GNSYX is a SaaS analytics platform dedicated to tracking and measuring brand rankings in responses from artificial intelligence models, including GEO/GSO/SEO analytics, interactive mapping, and monitoring of content generated by AIs such as OpenAI or ChatGPT. The GTC apply to all orders placed via the gnsyx.com website, prevailing over any other Client document (quotes, general terms of purchase). Any order entails full and unconditional acceptance of the GTC in their version in force on the subscription date. The Company reserves the right to unilaterally amend the GTC, with notification by email or via the website at least 30 days before they come into effect; continued use of the services constitutes acceptance of the modifications.

Definitions

For the purposes of these GTC:

Provider: Aghilas Quantec SAS, publisher and operator of the GNSYX platform.

Client: Any natural or legal person, professional or consumer, subscribing to GNSYX or ordering services from the Provider.

User: The Client or any person under their responsibility (employee, representative, service provider, etc.) benefiting from access to GNSYX.

Parties: The Provider and the Client together.

Platform / GNSYX: The online SaaS platform accessible in particular via gnsyx.com, allowing measurement and analysis of brand visibility in AI-generated responses (GEO/GSO/SEO analytics, prompt tracking, AI model tracking, mapping and dashboards).

Subscription: Agreement between the Provider and the Client for access to GNSYX (e.g., Basic, Pro) in exchange for a flat-rate fee for a defined period.

Data: Any content (texts, brand names, URLs, prompts, configurations, etc.) and results of analyses associated with the Client’s use of GNSYX.

Personal Data: Any information relating to an identified or identifiable natural person, within the meaning of the GDPR.

Identifiers: The email address and password allowing access to a Client or User account.

Incident: Any malfunction or unavailability affecting access or use of GNSYX.

Blocking Incident: Incident making the use of GNSYX impossible.

Major Incident: Incident significantly degrading use of GNSYX without making it completely impossible.

Minor Incident: Any Incident that is neither blocking nor major but may hinder the User’s experience.

GDPR: EU Regulation 2016/679 on the protection of natural persons with regard to the processing of personal data.

3. Contractual Documents and Services Offered

B2B

For professional Clients, the services provided by the Provider are described in these GTC, the quote or commercial proposal validated by the Client, and where applicable, a framework agreement or special conditions agreed between the Parties. In the event of contradiction, the provisions of the framework agreement or special conditions take precedence over those of the quote, and the provisions of the quote take precedence over these GTC.

B2C

For consumer Clients, the essential characteristics of GNSYX (notably functionalities, pricing and subscription terms) are presented on gnsyx.com, particularly on the pricing section. The Provider reserves the right to modify the service offer and subscriptions at any time for the future, without affecting orders already accepted and in progress.

4. Contract Acceptance and Proof

The contract is concluded by electronic acceptance: checking the "I accept the GTC" box during registration or payment, followed by a confirmation email summary sent to the Client. This email constitutes proof of the contract and the transactions carried out. Data stored by the Company on its servers shall prevail in case of dispute, subject to technical reliability recognized by French case law. Subscriptions are entered into for a firm term, tacitly renewable (monthly by default), with no right of withdrawal for digital services fully performed before the deadline (art. L221-28 of the French Consumer Code). In the case of subscription by a professional, no withdrawal is provided for.

5. Duration, Renewal, and Termination

Subscriptions are monthly or annualy, automatically renewable under the same terms unless expressly terminated by the Client at least 7 days before the renewal date via personal account or email to contact@agquantec.com. Termination takes effect at the end of the paid period; no refund is granted for partial use. The Company may immediately suspend access in case of non-payment (>7 days), abusive use (server overload, scraping), breach of GTC, or force majeure. Termination for serious misconduct (counterfeiting, unfair competition) with 15 days' notice after unsuccessful formal notice. Upon expiration, data (analytics reports) remain accessible for 60 days for free export; thereafter, definitive deletion without recourse.

6. Pricing, Invoicing, and Payment

Prices are freely set by the Company and displayed on gnsyx.com at the time of subscription (ex-VAT for professionals, inc-VAT for individuals). Monthly advance payment by credit card (Polar or equivalent secure method) or SEPA transfer. No specific prices mentioned here; any future change will be notified 30 days in advance and shall not affect ongoing subscriptions unless the Client agrees in writing. In case of late payment, automatic penalties of 1.5% per month (art. L441-6 French Commercial Code), flat fee of €40 for recovery costs, and service suspension without notice. The Client bears all banking fees. Invoices available in PDF via personal account; VAT applicable based on Client status.

7. Client Obligations and Prohibited Use

The Client undertakes to:

Provide accurate and up-to-date information upon registration.

Use GNSYX lawfully, within the framework of its professional or personal activity, without infringing third-party rights (counterfeiting, defamation).

Not: reverse-engineer, decompile, disassemble; overload servers; use for spam or illegal activities; share access with third parties. In case of breach, the Company may terminate without notice and claim damages (lost revenue, legal fees). The Client indemnifies the Company against any third-party claims.

8. Company Obligations and Warranties

The Company undertakes to provide services with professional diligence, confidentiality, and security (RGPD compliance, ISO 27001 targeted). Warranty of non-regression of existing features. Support: response within 5 business days (Basic), 48 hours (Pro). In case of proven breach, remedies limited to correction or pro rata refund. No warranty for non-compliant uses or force majeure (cyberattacks, supplier failures).

9. Intellectual Property and License

All intellectual property rights (software, algorithms, databases, GNSYX trademarks, logos) remain exclusively owned by Aghilas Quantec. The Client is granted a non-exclusive, worldwide, revocable, non-transferable license for the subscription duration, limited to authorized internal use. Any reproduction, adaptation, or substantial extraction is prohibited and subject to damages (art. L335-2 French Intellectual Property Code). The Client retains rights to uploaded data (brands/prompts), subject to a free license for hosting and analytics processing.

The Company acts as data controller for Client data (accounts, analytics) and processor if personal data is uploaded. Processing compliant with GDPR (art. 28): EU hosting, encryption, restricted access. Detailed privacy policy on gnsyx.com; explicit consent for analytics cookies. Rights of access, rectification, erasure exercised via the means provided in Article 14. No extra-EU transfers. In case of breach, notification to CNIL/Client within 72 hours; audit possible upon motivated request.

11. Limited Liability

Total exclusion of indirect damages (loss of business, data, profits, reputation). The Company is not liable for inaccuracies in external AI models or interruptions due to third parties (cloud providers). Force majeure (art. 1218 French Civil Code: war, pandemic, natural disasters) suspends obligations without indemnity.

12. Force Majeure and Partial Nullities

In case of force majeure, obligations are suspended without indemnity until cessation. If event lasts >30 days, amicable termination possible. Nullity of one clause does not entail nullity of the GTC; Parties shall endeavor to replace it with a valid clause.

13. Assignment and Subcontracting

The Client may not assign its rights without prior written consent. The Company may freely assign (merger, acquisition) with notification. Technical subcontracting authorized (hosters, anonymized AI processors) with joint liability.

14. Applicable Law, Disputes, and Mediation

Exclusive French law. Any dispute (including payment) falls under the exclusive jurisdiction of the Paris Commercial Court, notwithstanding multiple defendants or warranty claims. Prior amicable procedure: written claim within 15 days; mediation via European ODR platform (ec.europa.eu/odr) or CNIL. Proof by writing only.

15. Miscellaneous Provisions

The GTC constitute the entire agreement of the Parties, superseding any prior oral/written terms. Any notification is made by email to contact@agquantec.com or online declaration, which shall prevail. French version shall prevail in case of translation.
